1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Finforge platform (“Finforge”, “the Service”), provided by Finforge AB, Bergsbrunna Villaväg 8 C, 757 56 Uppsala, Sweden (“we”, “us”, “our”).

By creating an account or using Finforge, you agree to be bound by these Terms.

If you do not agree, you must not use the Service.

You must be 18 years or older to use Finforge.

2. About Finforge

Finforge is an AI-powered SaaS platform that allows users to design, analyze, and deploy automated trading strategies (“recipes”) using a node-based editor. Users may connect external brokerage accounts to enable automated trade execution.

Finforge does not provide investment advice, financial recommendations, or individualized guidance. All decisions made using the platform are solely your responsibility.

3. No Financial Advice

Finforge is not a broker, not a financial advisor, and does not offer any recommendation to buy, sell, or hold any financial instrument.

All information generated by Finforge—including forecasts, signals, model outputs, or AI-generated content—is for informational and educational purposes only.

Nothing on the platform should be interpreted as:

• financial advice,
• investment advice,
• portfolio recommendations,
• tax or legal advice, or
• an endorsement of any trading strategy.

You are solely responsible for evaluating the risks of any trading activity.

4. Trading Risk Disclaimer

Trading financial instruments—including stocks, crypto, forex, indices, and derivatives—carries significant risk, including the risk of losing your entire investment.

You acknowledge that:

• Markets are volatile and unpredictable.
• AI forecasts and models may be inaccurate or fail.
• Past performance does not guarantee future results.
• Automated trading may amplify losses due to speed and frequency.

Finforge AB is not liable for any losses, damages, or missed opportunities arising from the use of the Service.

5. Automated Trading

By connecting a brokerage account, you authorize Finforge to:

• send trading instructions to your broker on your behalf, and
• execute trades according to your configured strategies.

You acknowledge that:

• Finforge executes trades only via API access you explicitly provide,
• Finforge has no visibility into broker-side execution quality, slippage, outages, margin calls, or order routing,
• You are solely responsible for monitoring your brokerage account, ensuring sufficient balances, and verifying the correctness of trades.

Finforge AB is not responsible for:

• failed or delayed orders,
• incorrect broker data,
• API downtime,
• execution errors,
• regulatory actions taken by the broker, or
• losses caused by your strategies.

6. User Responsibilities

You agree to:

• provide accurate account information,
• maintain the confidentiality of your login credentials,
• not misuse the Service,
• not attempt to reverse-engineer or copy the platform or models,
• not use Finforge for fraudulent, abusive, or unlawful activity,
• comply with all laws and regulations applicable to your trading.

You are responsible for all activity performed under your account.

7. Intellectual Property

All content, software, models, algorithms, workflows, documentation, and branding associated with Finforge are the intellectual property of Finforge AB.

You may not copy, modify, resell, or redistribute any part of the Service.

You retain ownership of your own trading projects, strategies (“recipes”), and uploaded data.

8. Early Access / Beta Features

Finforge may provide early access or beta functionality.

These features may be unstable, incomplete, or inaccurate.

You acknowledge that early access may include:

• bugs
• outages
• data loss
• incorrect outputs
• unreleased or experimental features

Finforge AB is not liable for any issues arising from beta functionality.

9. Limitation of Liability

To the maximum extent permitted by law, Finforge AB is not liable for:

• losses arising from trading or investment decisions,
• errors generated by AI models,
• brokerage failures or execution problems,
• data inaccuracies or third-party data issues,
• outages, bugs, or interruptions,
• indirect, incidental, or consequential damages.

Finforge AB’s total liability shall not exceed the amount paid by you to Finforge in the preceding 12 months (if any).

10. Termination

We may suspend or terminate your account if you:

• violate these Terms,
• misuse the Service,
• create system overload or abuse automated trading, or
• use automated systems that present risk to Finforge or other users.

You may delete your account at any time.

11. Governing Law

These Terms are governed by the laws of Sweden, without regard to conflict-of-law principles.

Any disputes shall be resolved in Swedish courts.

12. Changes to Terms

We may update these Terms occasionally. If we make significant changes, we will notify users via email or through the platform. Continued use of Finforge constitutes acceptance of the updated Terms.
